Quick answer: Once the Registrar approves a Company Name change, every stamp, the registered office signboard and your letterheads must carry the new name. For two years after the change, Section 12(3) of the Companies Act also requires the former name to be shown alongside the new one on the signboard and stationery. If only the registered office moves, the signboard must be put up at the new address and your address stamp replaced; the name stamps can stay.
What needs to change after a Company Name change?
| Item | Change needed? | Why |
|---|---|---|
| Director / Authorised Signatory stamps | Yes | They carry the Company Name; banks reject documents with the old name |
| Round seal stamp | Yes | Same reason |
| Common Seal (if you use one) | Yes | The engraved name must match the new Certificate of Incorporation |
| Registered office signboard | Yes | Section 12(3) — new name, plus former name for two years |
| Letterheads, invoices, website footer | Yes | Section 12(3) applies to business letters, bill heads and other official publications |
What is the former-name rule?
Section 12(3) says that a Company which has changed its name in the last two years must show its former name (or names) along with the new name wherever the name is painted, affixed or printed. In practice, signboards and letterheads add a line such as "(Formerly known as ABC Technologies Private Limited)". Rubber Stamps usually carry only the new name, so they stay readable.
When should I order new stamps?
Order as soon as you receive the fresh Certificate of Incorporation for the name change, and before you update the bank. Banks ask for the new certificate and fresh specimen signatures with the new stamp, so having the stamp ready saves a second visit.
What if only the registered office has moved?
After the shift is filed with the Registrar, put up the signboard at the new premises and replace any address stamp. Your Director, Authorised Signatory and round stamps don't carry the address, so they need no change. Read Is a Registered Office Signboard Mandatory?
Does the same apply to LLPs?
Yes, in practice. Once an LLP's name change or office change is registered, order stamps and a signboard with the updated details so they match the LLP's records and bank account.

Frequently asked questions
Can I keep using my old stamps until they run out?
No. A stamp with the old name on bank forms, cheques or invoices causes rejections and confusion. Replace them once the name change is approved.
How long must the former name be displayed?
For two years from the date of the name change, alongside the new name, under Section 12(3) of the Companies Act, 2013.
Does a change in directors require new stamps?
No. Director and Authorised Signatory stamps carry the Company Name and the role, not a person's name.
Should the stamp say 'formerly known as'?
It isn't needed on Rubber Stamps and makes them crowded. Put the former name on the signboard and letterheads instead.
