Quick answer: A Digital Signature Certificate (DSC) and a Rubber Stamp do different jobs. A DSC is mandatory for signing online filings on the MCA, Income Tax and GST portals. A Rubber Stamp is used with a wet signature on paper — bank forms, cheques, invoices, agreements and certified copies. A DSC does not replace a Company stamp for paper documents, which is why every newly registered Company ends up with both.
What is a DSC used for?
A DSC is an electronic credential issued by a licensed Certifying Authority. Directors and designated partners already have one, because incorporation forms are signed digitally. After incorporation it is used for annual MCA filings, income tax returns, GST returns where required, e-tenders and some online banking approvals.
What is a Rubber Stamp used for?
Any paper document signed on behalf of the Company: account-opening forms, cheques, invoices, agreements, delivery challans, certified true copies and letters. The stamp shows the Company Name and the signatory's role, so the reader knows the signature binds the Company.
DSC vs Rubber Stamp at a glance
| Digital Signature (DSC) | Rubber Stamp | |
|---|---|---|
| Medium | Electronic documents and portals | Paper documents |
| Legal basis | Information Technology Act, 2000 | Business practice; no statute requires it |
| Who holds it | An individual (director, partner, signatory) | The Company; can be used by any authorised person |
| Validity | Typically 1–3 years, then renewal | Lasts years; refillable |
| Typical use | MCA, ITR, GST filings, e-tenders | Bank forms, cheques, invoices, agreements |
Will digital signatures make Rubber Stamps obsolete?
More paperwork is moving online, but Indian banking, procurement and government offices still handle large volumes of paper. Even Companies that file everything digitally keep a stamp for bank visits, vendor onboarding and courier deliveries. For a newly registered Company, the stamp is usually needed first — at bank account opening, within days of incorporation. See Documents Needed to Open a Company Bank Account.
Is an "e-stamp" the same as a Company Rubber Stamp?
No. An e-stamp is an electronic stamp-duty certificate, paid to the state government for agreements and leases. It has nothing to do with your Company's Rubber Stamp. Many people confuse the two because both are called "stamps".

Frequently asked questions
Can I put an image of my stamp on a digitally signed PDF?
You can, and some businesses do it for familiarity, but the legal weight of an electronic document comes from the DSC or e-sign, not the stamp image.
Does a DIRECTOR need a separate DSC for each Company?
No. A DSC is issued to the individual and can be used to sign for every Company in which they hold a role.
Is a Rubber Stamp needed for GST registration?
Not for the online application, which is verified electronically. You'll still use the stamp on invoices and bank documents afterwards.
Which comes first after incorporation — DSC or stamp?
The DSC already exists, since it was used to incorporate the Company. The stamp is the next thing to order, before the bank account is opened.
