Compliant Company Signboard designed with the RUBBER STAMPWALA Free Signboard Preview Tool

Free Signboard Preview Tool: One Signboard for Companies Act, GST and State Law

Your Signboard is now a compliance document

A Company or LLP Signboard is no longer just a name on the wall. Since the revised MGT-7 and MGT-7A forms, every Company must attach a photograph of its registered office showing the outside of the building, with its name board clearly visible.

That single board must satisfy three sets of rules at once: the Companies Act, 2013, the GST law, and the state's language law. Getting any one of them wrong can cost a Company a penalty, a defective filing, or both.

To help Companies and professionals get it right, RUBBER STAMPWALA has launched a Free Signboard Preview Tool. This article explains the three laws, the common problems, and how the tool solves them.

Compliant Company Signboard with name, registered office address, CIN and GSTIN in English and the local language

Law 1: Companies Act, 2013 (Section 12)

Section 12(3)(a) requires every Company to paint or affix its name and registered office address outside every office where it carries on business. The board must be in a conspicuous position and in legible letters. Where the local language uses a different script, the name and address must also appear in that local language.

  • Penalty (Section 12(8)): Rs.1,000 per day while the default continues, up to Rs.1 lakh, for the Company and for every officer in default.
  • Annual return: The revised MGT-7 / MGT-7A asks for a geotagged photograph of the registered office exterior, with the name board visible.
  • Physical verification: The Registrar can physically verify a registered office. A missing or wrong board is usually the first thing noticed.

In practice, a compliant Company board shows the Company/LLP name, registered office address and CIN/LLPIN, in English and the local language. More detail: Importance of Section 12 of the Companies Act and Is a Registered Office Signboard Mandatory?

Law 2: GST (CGST Rule 18)

Every GST-registered business must display its GSTIN on the name board at the entry of its principal place of business and at every additional place of business. The GST registration certificate must also be displayed prominently inside.

  • Penalty: Non-display can attract the general penalty under Section 125 of the CGST Act, up to Rs.25,000.
  • Why it matters: GST officers commonly check the name board during physical verification of a new registration.

More detail: GST Signboard Rules.

Law 3: State language laws

Several states require the local language on business signboards, on top of the Companies Act.

State Rule What the board needs
Maharashtra Maharashtra Shops and Establishments Act (2022 amendment) Name in Marathi (Devanagari), with Marathi letters no smaller than any other script. Mumbai's civic body has charged double property tax on non-compliant boards.
Karnataka Kannada Language Comprehensive Development (Amendment) Act, 2024 60% of the Signboard in Kannada. The Karnataka High Court has asked the state not to take harsh action against shops while challenges are heard.

Other states have their own language rules too, so the local-language line on a board should always follow the state where the office is located.

The problem: two gaps

  1. No awareness. Most new directors and partners don't know these rules exist. The Signboard is rarely discussed during Company or LLP registration, and many founders find out only when a bank, a GST officer or the MGT-7 form asks for it.
  2. No standard draft. Those who do know have no single format that satisfies all three laws together. Local printers make the board from whatever details they are given, so the CIN, GSTIN or local-language line is often missing, misspelt or too small.

The result is avoidable penalties that can run into lakhs of rupees across the Company and its officers.
