1. Verify Your Certificate Details
Check your Certificate of Registration for your LLP name, LLPIN (LLP Identification Number), date of registration, and registered office address. These must match exactly on your stamp, signboard, bank account, and GST application.
2. Get Your LLP Stamp Made
Order a Designated Partner stamp, an Authorised Signatory stamp, and a Round seal stamp — the same 3-in-1 structure used by companies, with "Designated Partner" in place of "Director". See our LLP stamp sets.
3. Display Your Registered Office Signboard
Section 13(3) of the LLP Act, 2008 requires every LLP to display its name and registered office address at its registered office and every place of business, in a legible manner. See our compliance signboards.
4. Open a Current Bank Account
Banks typically require the Certificate of Registration, LLP Agreement (or an interim declaration if not yet filed), PAN, and your LLP stamp on the account-opening form.
5. File the LLP Agreement (Form 3)
Form 3, containing the LLP Agreement, must be filed within 30 days of incorporation. This sets out capital contribution, profit-sharing, and partner roles.
6. Confirm PAN & TAN
PAN and TAN are usually allotted alongside incorporation — confirm both are issued correctly in the LLP's name before opening your bank account.
7. Register for GST
Required once turnover crosses the applicable threshold, or earlier if you want to claim input tax credit from day one.
8. Maintain Statutory Registers & Books
LLPs must maintain proper books of account and statutory records from the outset, even though the compliance burden is lighter than for companies.
9. Know Your Annual Compliance Deadlines
LLPs must file Form 11 (Annual Return) and Form 8 (Statement of Accounts & Solvency) every year, regardless of turnover or activity level.
10. Apply for Business Licenses
Depending on your business activity and location, you may need Shop & Establishment registration, MSME (Udyam) registration, or industry-specific licenses.
Does an LLP need a common seal?
No. LLPs are governed by the LLP Act, 2008, not the Companies Act, and have no common seal requirement — partner signatures and the LLP stamp are sufficient.
Is the registered office signboard requirement the same as for companies?
Yes, in substance — Section 13(3) of the LLP Act, 2008 runs parallel to Section 12(3) of the Companies Act, requiring the LLP's name and registered address to be displayed at its office.
Is an LLP stamp legally mandatory?
No, it isn't a legal requirement, but banks and vendors commonly expect one on account-opening documents, invoices, and agreements.
