Things to Do Immediately After Receiving Your One Person Company (OPC) Registration Certificate

Your One Person Company's Certificate of Incorporation has arrived. Here's what to do next, in the order that keeps your bank account, compliance deadlines, and paperwork on track.

1. Verify Your Certificate Details

Check your Certificate of Incorporation for your company name, CIN, date of incorporation, and registered office address. These must match exactly across your stamp, signboard, bank account, and GST application.

3. Display Your Registered Office Signboard

Section 12(3) of the Companies Act, 2013 applies to OPCs the same way it applies to any company — a signboard showing company name, CIN, and registered office address must be displayed at your registered office. See our compliance signboards.

4. Open a Current Bank Account

Banks will ask for your Certificate of Incorporation, MOA/AOA, company PAN, a board resolution, and your company stamp on the account-opening form.

5. Decide on a Common Seal

Optional since the Companies (Amendment) Act, 2015. Check your Articles of Association — if they don't specifically require one, your Authorised Signatory stamp is usually sufficient. See our common seal options if you need one.

6. Appoint Your First Auditor

Like any company, an OPC's board must appoint its first statutory auditor within 30 days of incorporation.

7. Deposit Subscribed Share Capital & File INC-20A

The sole subscriber brings in the subscribed share capital, after which the company files Form INC-20A within 180 days of incorporation.

8. Register for GST

Required once turnover crosses the applicable threshold, or earlier to claim input tax credit from day one.

9. Set Up Statutory Registers

Maintain the registers of members, directors, and charges required under the Companies Act from the start.

10. Apply for Business Licenses

Depending on your industry and location, you may need Shop & Establishment registration, MSME (Udyam) registration, or other sector-specific approvals.

Can an OPC have more than one director?

Yes. An OPC can appoint multiple directors for day-to-day management, even though it has only one member (shareholder).

Is a nominee mandatory for an OPC?

Yes. Every OPC must name a nominee at incorporation, who would take over the sole member's shares in case of death or incapacity.

Is the signboard requirement different for an OPC compared to other companies?

No. Section 12(3) of the Companies Act, 2013 applies identically to OPCs, Pvt Ltd companies, and other company types.
